Terms of Service — Market Gap Technologies

These Terms of Service ("Terms") govern your use of the corporate website at marketgap.technology ("Site"), operated by Market Gap Technologies Limited ("MGT," "we," "us," or "our"), a company registered under the laws of Jamaica. By accessing or using the Site, you agree to be bound by these Terms.

Scope. These Terms cover only this corporate website. The FiWi Community platform — including its web application, mobile apps, and any community-management services — is governed by a separate FiWi Community Terms of Service and any applicable Master Service Agreement between MGT and the relevant Community Customer. Nothing in these Terms creates rights or obligations relating to the FiWi Community platform.

1. Acceptance

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site. If you are using the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Permitted use

The Site is provided as an informational resource about MGT and the FiWi Community product. You may access and view the Site for lawful business and personal purposes — for example, to learn about our company, evaluate our products, or contact us about a potential engagement.

3. Prohibited conduct

You agree not to:

Use the Site in any manner that violates applicable law, including the Computer Misuse Act of Jamaica;
Probe, scan, or test the vulnerability of the Site, breach security or authentication measures, or attempt to access systems or data not intended for you;
Interfere with or disrupt the Site, the servers or networks connected to it, or any other user's use of it;
Use automated means (bots, scrapers, crawlers) to access the Site at a rate that meaningfully degrades service for other users, or in violation of robots.txt or rate-limiting we put in place;
Submit false or misleading information through the contact form, or use it to send unsolicited commercial messages, malware, or content that infringes third-party rights;
Reverse engineer, decompile, or otherwise attempt to derive source code from any compiled assets we serve, except to the extent permitted by mandatory law;
Reproduce, copy, modify, or create derivative works of the Site or its content except as permitted in Section 5.

4. Submissions and contact form

If you submit information through the contact form, you confirm that the information is accurate and that you have the right to submit it. We may reply to your enquiry, and we may decide not to. We are not obligated to take any action in response to a submission. Personal data submitted is handled per our Privacy Policy.

5. Intellectual property

The Site, including all source code, written content, graphics, design, logos, and the "Market Gap Technologies" name and wordmark, is the property of MGT or its licensors and is protected by Jamaican and international copyright, trade-mark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to view the Site for the purposes described in Section 2. No other right or licence is granted, expressly or by implication. You may not use our marks or branding without our prior written permission, except in factual references that comply with applicable trade-mark law.

The "FiWi" and "FiWi Community" marks, the FiWi logo, and any related branding shown on the Site are trade marks of MGT used in connection with the FiWi Community product.

6. Third-party links

The Site contains links to third-party websites (including www.fiwi.community), which are provided for convenience. We do not control those sites and are not responsible for their content, privacy practices, or availability. Your use of any third-party site is subject to that site's own terms.

7. Disclaimers

The Site and its content are provided "as is" and "as available," without warranty of any kind, express or implied. To the fullest extent permitted by law, MGT disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components, nor that any information on the Site is accurate, complete, or current.

Information on the Site is for general informational purposes only and does not constitute professional advice or a binding offer to provide products or services. Any contractual relationship for the FiWi Community platform or other MGT services is established through a separately executed agreement.

8. Limitation of liability

To the fullest extent permitted by law, in no event will MGT or its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site, even if we have been advised of the possibility of such damages.

Where liability cannot be excluded by law, our total cumulative liability for all claims arising out of or relating to your use of the Site is limited to ten thousand Jamaican dollars (J$10,000). Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference and explains how we handle personal data submitted through the Site.

10. Governing law and jurisdiction

These Terms are governed by the laws of Jamaica, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site that cannot be resolved through good-faith discussion will be subject to the exclusive jurisdiction of the courts of Jamaica.

11. Changes to these Terms

We may revise these Terms from time to time. The current version will always be posted at marketgap.technology/terms with an updated "Last updated" date. Material changes will be highlighted at the top of the page for a reasonable period. Your continued use of the Site after a revision becomes effective constitutes acceptance of the revised Terms.
